Property Scouting & Consultancy Agreement

1. Object of the Agreement
The Consultant undertakes to provide property scouting and consultancy services in Tuscany, according to the Client’s preferences and budget.
The service includes:
- Research of properties compatible with the Client’s criteria
- Contact with owners or real estate agencies
- Preliminary verification of main features (habitability, compliance, pending issues), without replacing the role of technical professionals (surveyor, notary, lawyer)
- Delivery of a shortlist of approx. 8 selected properties within 15 days from the start of the assignment
- Accompaniment to up to 3 viewing sessions (each session may include more than one property)
- Considerations on the asking price, including a preliminary check of the seller’s willingness to negotiate and advice on what could be considered a reasonable offer, if and when the Client expresses interest in a specific property

2. Fees
Scouting fee: , divided into two instalments:
- due upon signature of this Agreement
- due upon delivery of the shortlist
Success fee: , due if the Client purchases any property proposed by the Consultant, whether included in the initial shortlist or later communicated. The success fee remains valid even if the Client decides to purchase the property at a later stage, after the initial scouting period has ended.
3. Duration and Ongoing Property Reports
This Agreement is valid for months from the date of signature.
If the Consultant identifies further properties during this period, they will be forwarded to the Client.
If after the expiry of this agreement the Client has not yet purchased a property and the Consultant becomes aware of additional suitable opportunities, these will also be shared. In all such cases, the scouting work is considered covered by the initial scouting fee, but the success fee shall still apply if the Client purchases any of the properties proposed by the Consultant.
4. Exclusions and Limitations
- The Consultant does not act as a real estate broker but as an independent consultant.
- This Agreement does not establish any form of exclusivity: the Client is free to work with other professionals or agencies in parallel. However, any property listing first presented by the Consultant shall remain under the Consultant’s scope. If the Client later pursues that property directly with the agency or the owner, the success fee shall still apply.
- All legal and technical checks (notary, cadastral, compliance, etc.) must be carried out by qualified professionals chosen by the Client. The Consultant may recommend trusted professionals, but the final choice remains with the Client.
- Any travel or additional expenses (e.g. property documents, surveys, translations) will be agreed separately and covered by the Client.
5. Applicable Law and Jurisdiction
This Agreement is governed by Italian law. Any dispute arising from it shall fall under the jurisdiction of the Court of Siena.
The signing Principal declares that they are also acting in the name and on behalf of the other parties indicated in this agreement, and assumes full and exclusive liability for such declaration. In any case, the signing Principal shall remain the sole and exclusive party liable towards the Agency for all obligations arising from this agreement, including those relating to the parties on whose behalf they declare to act.
This agreement shall become effective upon receipt by the Agency of the deposit, qualifying as a confirmatory down payment (caparra confirmatoria), corresponding to the first installment (or the full amount, if payment is agreed in a single installment). The balance must be paid within twenty-four (24) hours of the Principal’s receipt of the list prepared by the Agency. The confirmatory down payment is strictly non-refundable, even in the event that the list does not include any properties to be visited.
